Terms and Conditions

It is our pleasure to provide the services described below for your personal improvement and impact in accordance with these Terms of Use (“Terms”). We reserve the right to make changes to them at any time without notice, so regularly check for updates.

If you place an order with Strengths Now Inc, then a legally binding contract will be formed between you and Strengths Now. The terms of that contract are as set out here. This is a legal document intended to have legal significance. If you do not understand all parts of this agreement, please seek advice from a qualified legal practitioner.

1. DESCRIPTION OF SERVICES

Strengths Now (“we,” or “us”) provides several services (“the Services”) to you, our users (“Users”), including:
- Embrace What’s Next. We offer a six-week, live, virtual cohort series for women and an on-demand, the self-paced version that includes videos and worksheets for reflection. Both programs include an access code to take the Clifton Strength assessment and one confidential coaching session (50 minutes in length) with a Gallup Certified Strengths Coach.

- Career Builder Package. This add-on package is intended for users who want to receive professional feedback on their resume, cover letter, and LinkedIn profiles.

- Coaching Package. A coaching package can be added to any program and consists of three virtual 55-minute private coaching sessions with a Gallup Certified Strengths Coach. By accessing or using any of the Services, you accept and agree to these Terms. You agree that Strengths Now Inc. owns and retains all rights to the Services. You further agree that the content you access and/or view as part of the Services is owned or controlled by Strengths Now Inc.

2. PAYMENT AND CANCELLATION

Our terms are payment of the “Fees” as set out on the registration web pages. Payment may be made by credit card (MasterCard, Visa, and AMEX), PayPal, or at our discretion, a personal check or money order. Payment must be received in full to begin accessing Services.

We reserve the right to suspend or cancel your registration for a course if we have not received full payment.

Users acknowledge that:
- Payment in full is required before commencing work for any Services or official registration into the Embrace What’s Next cohort program

- Users will have access to Embrace What’s Next on-demand Program content for one year following the date of purchase

- Users who have paid for a Service may elect to defer the start date no later than 6 months from the date of payment

- Logins will be suspended 7 days after payment defaults

- Except in cases of emergency, if you do not show for a scheduled coaching session or cancel within less than 48 hours, you may be required to pay a cancellation fee of $75.
Payments are non-refundable, and there are no refunds or credits for partially used services once purchased. When a client pays for a coaching session, or sessions, in advance, they must have the coaching session(s) that they have paid for within 6 months of the payment, or any untaken sessions are forfeited. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members (“credits”). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future under any circumstance.

3. RESPONSIBILTIES & COMMITMENTS

To keep the Services safe and available for everyone to use, we ask that you abide by our agreement. You and other users must use the Services for lawful, non-commercial, and appropriate purposes only. Your commitment to this principle is critical.
You agree that you will not use the Services and Content in a way that:

- Violates the rights of others, including patent, trademark, trade secret, copyright, privacy, publicity, or other proprietary rights

- Uses technology or other means to access, index, frame, or link to the Services (including the Content) that is not authorized by Strengths Now (including by removing, disabling, bypassing, or circumventing any content protection or access control mechanisms intended to prevent the unauthorized stream capture, reproduction, access to, or distribution of the Services)

- Introduces viruses or any other computer code, files, or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment

- Violates these Terms or any guidelines or policies posted by Strengths Now

- Interferes with any other party’s use of the Services.
We expect you to be on time with an adequate internet connection for coaching or group cohort meetings. We ask that you make every effort to keep a scheduled coaching session or give a minimum of 48 hours’ notice for any changes so that another client may use the session. In exceptional circumstances, a Strengths Now coach may need to rearrange a coaching session; in these circumstances Strengths Now will provide a mutually satisfactory alternative appointment for the client.
The estimated turnaround time Career Builder Package services are approximately 7 to 10 business days. However, this may be less or more depending on the amount and nature of work involved on a case-by-case basis. Clients are requested to respond to Strengths Now requests for information as quickly as possible when career materials are being evaluated in order to keep completion time as fast as possible. Career Builder services will remain open for a period of 2 months from the date of payment. After this time, no further work is obliged to be undertaken on the resume, cover letter, or LinkedIn profile by Strengths Now.

4. TERMINATION

You agree that Strengths Now may terminate your use of the Services, for any reasonable reason, including, without limitation, non-payment of the Fees or behavior or conduct inconsistent with the guidelines set. Strengths Now will not tolerate the distribution of (by whatever means) content that is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, or that we otherwise deem distasteful or objectionable (at our sole discretion).
You are not permitted to use our cohort meetings, chat areas, private Facebook group, or E-mail service in any commercial manner. Any commercial solicitation by you of our other uses is prohibited. Users are solely responsible for the content of their own messages. At the discretion of Strengths Now, violation of this clause may result in suspension or cancellation of your course without refund.

If Strengths Now determines in its sole discretion that you are violating any of these Terms, we may (i) notify you and (ii) use the technical measure to block or restrict your access or use of the Services. In either case, you agree to immediately stop accessing or using in any way (or attempting to access or use) the Services, and you agree not to circumvent, avoid, or bypass such restriction, or otherwise restore or attempt to restore such access or use.

5. CONFIDENTIALITY & PRIVACY

We shall keep all information about you in strict confidence and shall not pass your details to any third party. Embrace What’s Next users may be given links to other websites operated by third parties. These websites may not be under the control of Strengths Now, and we are not liable for the content of any third-party website accessed directly or indirectly through a link. When you click on a link to access a linked site, you acknowledge that Strengths Now neither endorse nor are affiliated with the linked site and are not responsible for any content that appears on the linked site – unless expressly stated otherwise.

Please note that unencrypted E-mail communications over the Internet are not secure (i.e. private) at this time. We do not encourage anyone to send information that must remain confidential to us using unencrypted E-mail.
Embrace What’s Next cohort classes are generally recorded. These recordings are made available for current cohort members to review following each session. You agree to such recordings without us giving you notice.

6. WARRANTIES

The satisfaction of our clients at Strengths Now Inc. is our highest priority, and we are committed to providing the best tools, resources, and methods. The Services are provided with reasonable skill and care by Gallup Certified Strengths Coaches who are professional and experienced.

The User is fully responsible for themselves and their actions within and outside of the Services provided. Coaching is not psychological counselling or any type of therapy, and should not be construed as such. Strengths Now and its coaches are released from any liability claims and clients remain responsible for their decisions and actions during and as a result of the Service. The user has sole responsibility for any decisions they may make following the program.

Strengths Now accepts no liability for the user’s actions and has no liability for any loss incurred by any user, whether financial or otherwise, following commencement of the services or on the basis of any advice or documentation given by Strengths Now or another participant, at an event, or for any perceived failure by the user, whether justified or otherwise, to achieve a material improvement in quality of life or to achieve their desired outcomes or goals.

Clients are advised to take the recommendations of our career materials professional concerning written content for best results. Strengths Now is in no way responsible or liable for any outcomes arising from the use of the Career Builders Package.

7. USE OF STRENGTHS MATERIALS

Strengths Now will purchase StrengthsFinder assessment access codes on behalf of the User. All individuals who participate in the StrengthsFinder assessment own his or her results, regardless of whether the individual purchased the Access Code or the Access Code was purchased for his or her benefit. Only the individual can permit to share his or her results. Refer to Gallup’s Terms and Use document regarding the Ownerships of Individual Strengths for more information.

The client acknowledges that the StrengthsFinder assessment, results, and associated written materials are not validated as promotion, selection, hiring, or termination tools and will not be used as such. Workshop, coaching, or other materials developed by Strengths Now, Inc. may not be reproduced, forwarded, or shared with other parties without express written consent of Strengths Now, Inc.

8. DISCLOSURES

Gallup is not a party to this Agreement and shall have no liability whatsoever concerning any of the services that are the subject of this contract. The services we provide under this contract are not provided, warrantied, or sponsored by Gallup. The non-Gallup information you are receiving has not been approved and is not sanctioned or endorsed by Gallup in any way. Opinions, views, and interpretations of StrengthsFinder® results are solely the beliefs of Strengths NOW, Inc.

9. INDEMNIFICATION

This contract is solely between the User and Strengths Now, Inc. for the services and specific objectives named above. The client agrees to indemnify and hold Strengths Now, Inc., its officers, directors, shareholders, employees, agents and affiliates harmless from any demands, loss, liability, claims, or expenses (including attorneys’ fees) made against Strengths Now, Inc. by any third party due to or arising out of or in connection with services and materials provided by Strengths Now Inc.

Under no circumstances, including but not limited to negligence, shall Strengths Now, Inc. be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of or the inability to use Strengths Now, Inc. materials, products, or services.

10. GENERAL

The Content, the Services, and all information presented are solely for personal knowledge and development. Users are urged to perform independent research and to seek expert advice on the topics presented. Users must not rely on the information presented by Strengths Now as to your sole source of information on any topic; your reliance on such information is strictly at your own risk.
No waiver or any amendment to these terms shall be effective unless in writing and signed by both you and us. This contract shall be governed by and construed by the laws of Massachusetts.
